"Terms and Conditions" means these terms and conditions as may be varied or amended from time to time and any additional terms and conditions or disclaimers with reference to or displayed on the Website whether by hypertext link or otherwise;

"Transaction" means any transaction effected through the Services including but not limited to the contract of purchase and sale between You and the Wholesale Clearance UK Ltd;

2.1               This Website acts as an online venue to allow Wholesale Clearance UK Ltd to auction and sell clearance stock (in accordance with applicable law and regulations) and to provide You with the opportunity to bid for and buy such items.

2.2               By accessing or using the Services You agree to be legally bound by these Terms and Conditions.  By clicking and acknowledging that you agree to these Terms and Conditions on the Website You certify that You accept these Terms and Conditions.

2.3               We reserve the right to change these Terms and Conditions at any time.  Amendments will take effect when posted on the Website.  The date of the Terms and Conditions are stated at the top of the Terms and Conditions.  The Terms and Conditions current at the start of a Transaction will apply until that Transaction is completed.  Your continued use of the Services after any amendments to the Terms and Conditions shall be deemed to constitute your binding acceptance of such amendments.

2.4               We reserve the right to modify or withdraw this Website (or any part) at any time without notice.

3                    Participation in the Online Service

3.1               You can browse the Website at any time without registering.  To use

the Services, You are required to register as a member by completing the online registration form found under the iBidder link here https://www.wholesaleclearance.co.uk/stock-auctions.htm You should only register if You qualify for membership.  Registration and use of the facility to bid for items via the Website is free.

3.2               The Services are only available to individuals who are:

(a)               aged 18 years and over (and by registering and accepting these Terms and Conditions You represent to Us and Wholesale Clearance UK Ltd that You are not a minor and can form legally binding contracts under applicable law); and

(b)               resident in the United Kingdom (and by registering and accepting these Terms and Conditions You represent to Us that You are resident in the United Kingdom).

3.3               If You are registering on behalf of a business entity, You represent and warrant that You have authority to bind the entity to these Terms and Conditions.  Without prejudice to your warranty, We reserve the right to ask You for written authority from the business entity before registering any business entity.

3.4               You agree to ensure that your registration details are up to date and accurate and to update any details when necessary using the link on the Website.

3.5               You warrant and undertake to Us that all the information supplied to Us on the User Registration Form is true and accurate.

3.6               We reserve the right in our sole discretion to refuse any application to register and access the Services and to temporarily or indefinitely suspend any registered members. 

4                    User Name and Passwords

5                    General rules governing bidding and buying

5.1       You can only make a bid and use the Services if You are registered.  You agree to comply with any instructions or notifications posted on the Website from time to time in relation to use of the Services.

5.2               All auctions will be conducted in pounds sterling ("GB£").  You are responsible for ensuring that You have sufficient funds to cover the cost of Your bid and make payment in accordance with the applicable payment method.

5.3               Any bid that you make via this Website constitutes a legal offer to buy the item.  You may not retract a bid except for limited circumstances allowed under applicable law, for example, where the item does not materially comply with the description provided in relation to it on the Website.

5.4               Wholesale Clearance UK Ltd is entitled to set applicable minimum bids or reserve requirements and are entitled to change these during the auction period.  If an auction subject to a reserve ends and the reserve price is not met Wholesale Clearance UK reserves the right to accept the highest bid making it a legal offer and payment requested accordingly.

5.5               By bidding for an item you agree to be bound by any conditions of sale included in the item's description on the Website.

5.6               Any bid you make will remain open for the time period specified on the Website. We reserve the right to automatically extend this fixed time period by up to 10 minute increments where the highest bid is submitted within 10 minutes before the close of an auction to allow time for responses and final bids. This Website does not support the practice known as "sniping" where bidders place bids within the final few minutes of an auction and do not allow other bidders time to respond.

5.7               The winning bid in any auction will be the first highest bid to be registered that exceeds the reserve price (if any) and meets the conditions that are specific to that auction with the exception of 5.4.

5.8               If you bid for an item via the Website, You acknowledge and agree that if You have placed the highest bid which is (where applicable) at or above any reserve price or minimum bid and Wholesale Clearance UK has confirmed acceptance of your bid, You have entered into a legally binding contract to buy the item.

5.9               Wholesale Clearance UK Ltd have full discretion to refuse to accept your bid or withdraw any lot for whatever reason at any time.

5.10            Wholesale Clearance UK Ltd reserve the right to cancel or stop an auction at any time.

5.11            If your bid is successful you will be contacted by Wholesale Clearance UK to confirm acceptance of your bid and the amount of the successful bid and details of the relevant items, payment method details and details for You to arrange delivery or collection of the items.

5.12            If for whatever reason Wholesale Clearance UK is unable to contact You within 48 hours of the closure of the auction and/or there is a problem with your payment of any items, then Wholesale Clearance UK will be entitled to pass this to a collection agency.

5.13            You agree to comply with all applicable laws, statutes and regulations concerning your use of the Services.

6                    Payment

6.1                    Payment for items can be made over the phone by credit card or debit card.  Payment can also be accepted by Paypal.  Payment can also be accepted by Bank Transfer.  For fraud prevention, if payment is made by card or Paypal, Wholesale Clearance UK will only instruct delivery to the registered card address.  If an alternative delivery address is required, we can only accept Bank Transfer.  Payment is required in full within 48 hours of the end of the auction.

6.2                    The amount of any successful bid will be inclusive of a 20% buyers premium and VAT (if any) and any delivery or collection costs. 

6.3                    If at any time the Buyer fails to pay any of the sums under these Conditions when they fall due or to remove any Lot by the time specified in clause 6.1 above Wholesale Clearance UK Ltd may rescind the sale of that Lot, in which case any deposit shall be forfeited, and that Lot may be resold by Auction or privately by the Auctioneer.

6.4                    If Wholesale Clearance UK Ltd has rescinded the sale but the Buyer has removed the Lot bought, Wholesale Clearance UK Ltd shall be entitled upon serving reasonable advanced written notice on the Buyer, to enter upon any premises where he believes the Lot to be and safely remove it.

6.5                     If Wholesale Clearance UK Ltd has rescinded the sale and the Lot has been resold, the Buyer shall make good any deficiency, namely:- (a)  the sale price less the resale price; and/or (b)  the costs of and costs incidental to the resale of the Lot.

6.6                    If the Buyer has failed to remove any Lot by the time specified in clause 6.1 above and as a result the Seller is unable to give vacant possession on disposing of or relinquishing any interest in the premises from which the Lot should have been removed, the Buyer shall compensate the Seller for any loss arising from their failure to give vacant possession.

6.7                    If at any time the Buyer in any way breaches or defaults under any of these Conditions, Wholesale Clearance UK Ltd reserves the right (without prejudice to any other rights) to issue proceedings 28 days after the Buyer’s initial default or breach of these terms. The Auctioneer’s claim shall include, but not limited to, any loss of earnings (buyers commission), any administration charges, any storage charges and any legal fees associated with the Buyer’s breach or default (all amounts will exclude VAT).

6.8                    Wholesale Clearance UK Ltd reserves the right to recover any outstanding charges from the Buyers payment card used to register for the Auction.

6.9                    If the card used to register is fraudulent, registered to a third party or does not have enough funds on it to cover the cost, a £25 plus Vat fee will be added to the invoice.

6.10                If we have to take payment from a registered card, we will endeavour to take from the invoice, in descending order, the whole amount, half the amount, one quarter of the amount, our premium plus Vat, £100 and then £50. If the attempt to take payment is unsuccessful then we will charge £5.00 per transaction to recover the funds in 6.10.

6.11                Our charges for credit card transactions are 4% and 2% for debit cards.

6.12                Bidders who submit charge backs after non payment of an invoice will be charged the following; Administrative charge of £300 plus VAT to defend the charge back. Storage charges will start immediately the Charge Back notification is received from our bank for a minimum of 28 days at a rate of £50 per lot per day, plus Vat. We will also look to recover all of our premium.  All Chargebacks will be pursued through the courts.

6.13                If Wholesale Clearance UK Ltd issues proceedings the following costs shall be payable by the Buyer:  Full costs of the start of issuing proceedings varying from £150.00 to £300.00 plus VAT (solicitor depending).  £15.00 plus VAT for any letters sent by a solicitor.  Any court fees including but not limited to incurred including travel costs, lost earnings, accomodation costs and hearing costs.  Solicitors rates for attending court hearings start at £300.00 plus VAT per hour.

6.14                Any Buyer who is in default or breach under these terms shall be banned from any Auction held by the Wholesale Clearance UK, Bidspotter or ibidder.

7                     Collection of Goods

7.1                    Details relating to collection of items will be sent to You upon acknowledgement of your successful bid.

7.2                    You will at your own expense collect any item You have purchased from Wholesale Clearance UK upon payment of cleared funds to Wholesale Clearance UK Ltd.  You are responsible for any removal, delivery, storage and insurance charges on any item not taken away within 7 days after notification to collect the item from Wholesale Clearance UK.

7.3                    Ownership of goods will transfer to You when Wholesale Clearance UK has been paid in full and the goods have been collected.

8                           Goods

8.1                    All auction lots purchased by You on a sold as seen basis.  Viewing of the auction items can be arranged prior to bidding by contacting Wholesale Clearance UK Ltd through the Website.  Winning bids are seen as a contract of sale.  If You Fail to complete your purchase within the timescales laid out in these terms and conditions, Wholesale Clearance UK Ltd reserves the right to offer to the next highest bidder.  Wholesale Clearance UK Ltd also reserves the right to recover from You any costs, losses or charges incurred as a result of non payment.

9                    Returns

9.1               Other than as may be required under law, Wholesale Clearance UK Ltd will not under any circumstances accept the return of collected items.

9.2               You are responsible for inspecting any items at the time of collection or delivery to ensure that they match the items described on the Website. 

9.3               In limited circumstances, where You are legally entitled to return an item, it must be returned direct to Wholesale Clearance UK Ltd within 14 days of collection or delivery.  Refunds will be processed and issued after the item that is entitled to be returned has been received by Wholesale Clearance UK Ltd in its original or delivered state.  Wholesale Clearance UK Ltd is not responsible for any return delivery costs.

9.4               In the event of a dispute about an item, You Wholesale Clearance UK Ltd agree to follow the dispute resolution procedure set out in clause 15 below.

9.5               You acknowledge that there is no other right to return or cancel items that You have purchased and that the Consumer Protection (Distance Selling) Regulations 2000 do not apply to these Services.

10                Availability of the Website

10.1            You acknowledge that due to the nature of the Internet, We cannot guarantee that access to the Website will uninterrupted or that e-mails or other electronic transmissions will be sent to You or received by Us or that the content of such transmissions will be secure during transmission.

11                Intellectual Property Rights

11.1            You are granted a limited licence to access and use this Website solely for the purposes of use connected with the Services.  All contents of this Website including, but not limited to, the text, graphics, links and sounds are owned by our third party licensors and may not be copied, downloaded, distributed or published in any way without their prior written consent, except that You may print, copy, download or temporarily store extracts for your personal information or when You use the Services.

13                LIMITATION OF LIABILITY 

13.1            NOTHING IN THESE TERMS AND CONDITIONS EXCLUDES OR LIMITS LIABILITY FOR DEATH OR PERSONAL INJURY, DISHONESTY, FRAUDULENT MISPREPRESENTATION, STATUTORY RIGHTS OF CONSUMERS THAT CANNOT BE WAIVED OR LIMITED BY CONTRACT OR OTHERWISE TO THE EXTENT PERMITTED BY APPLICABLE LAW.

13.2            SUBJECT TO CLAUSE 15.1 ABOVE:

14                User Indemnity

14.1            You agree to fully indemnify, defend and hold Us harmless immediately upon demand from and against all actions, liability, claims, losses, damages, costs and expenses (including legal fees) We incur arising directly or indirectly as a result of your breach of these Terms and Conditions, including without limitation any claim against Us that you have not honoured your commitments in respect of a Transaction.

15                Dispute Resolution Procedure

15.1            In the event of any dispute with Us arising in relation to these Terms and Conditions you agree to follow the following dispute resolution procedure:

(a)               You will notify Us of the nature of the dispute as soon as possible at the address set out at clause 16 below;

(b)               if any dispute is not resolved with 30 days from the date on which a notice setting out the nature of the dispute is received by Us, either You or Us may request a meeting within 14 days with the relevant parties who have the power to resolve the dispute.

(c)               if any dispute is not resolved within 14 days following the meeting referred to in sub-clause (b) above, any party may then take such steps as it feels are necessary to resolve the dispute.

16.2            Notices will be deemed received upon confirmation of complete receipt being given by Us;

(a)               discontinue any auction or bid and exclude You from using the Service where You are in breach of any of these Terms and Conditions;

(b)               suspend or discontinue the Service at any time.

18                Third Party Rights

18.1            These Terms and Conditions do not create any rights or benefits enforceable by any person not a party to it (within the meaning of the Contracts (Rights of Third Parties) Act 1999) except:

(a)               an Affiliate shall have the right to enforce any rights or benefits in these Terms and Conditions;

(b)               an Affiliate shall have the right to enforce the rights or benefits of any indemnity, limitation and/or exclusion of liability in these Terms and Conditions;

(c)               a person who is the permitted successor or assignee under clause 19.2 below of the rights or benefits of these Terms and Conditions may enforce such rights or benefits.

18.2            No consent from the persons referred to in this clause 18 is required to vary or rescind these Terms and Conditions (whether or not in a way that varies or extinguishes rights or benefits in favour of such third parties).
