SITE PROCEDURE

The Auctioneer, its agents or sub-contractors reserve the right to refuse admission or ask any person to leave site whose behaviours is abusive or deemed by the Auctioneer to be unacceptable.  Any person found to be acting in a manner which may put others at risk will be asked to leave site immediately.

In case of fire all visitors and contractors are to exit the premises promptly as directed by the Auctioneer and its staff.

All visitors and contractors and their vehicles may be subject to search whilst on site.

All visitors and contractors are responsible for their own safety on site and enter at their own risk and should take the precaution of wearing protective clothing if appropriate.

BUYER'S PREMIUM - 15%

All lots are subject to the Buyer's Premium at 15% of the sale price plus VAT.

VIEWING

Prospective bidders should view and mark their catalogue as no lots will be accessible at the point of sale and are purchased as seen.

BIDDING                          

The auction will start to close from the time stated in the auction catalogue. Each lot will close at timed intervals as identified on the auction website. Where a bid is placed in the last 3 minutes prior to a lot closing, the time will be extended to allow further bidding to take place. This will not affect the closing time of any following lots assuming no further bids are placed within the last minute those subsequent lots.

The Auctioneer or its agents, reserve the right to cancel, block or remove any bid/bidder from the sale, if the bidder has registered before and not complied with any of the terms and conditions of sale.

By making a bid on any lot, the bidder makes an offer to purchase the lot at the bid price in accordance with the terms and conditions.  Once a bid has been placed, it cannot be withdrawn or cancelled.

 SALE COMMENCEMENT AND LOCATION

The auction will be an internet based online auction.  Bidders will be able to view the lots online at www.i-bidder.com or www.bidspotter.co.uk

The Auctioneer and its agents will verify the details provided by prospective bidders.  Any person or company, who fails to comply with the conditions of sale or provides incorrect details to the Auctioneer, or any other auctioneers, will be prevented from registering and bidding on this or any other sale conducted by the Auctioneer.

NOTIFICATION OF SUCCESSFUL PARTIES

Successful bidders will be invoiced within 24 hours after the last lot being sold, by email.  It is the bidder’s responsibility to check emails and post for notification of success.

Under-bidders may be contacted if the highest bidder defaults on payment.

PAYMENT Deadline

Lots purchased may only be removed upon receipt by the Auctioneer of CLEARED FUNDS by either Bank Transfer or Paypal

All attendees entering the site will be required to register their details confirming they agree to the terms and conditions of sale.

CLEARANCE Deadline

Lots may only be collected by prior arrangement with the Auctioneer.           

No lots shall be removed without the authority of the Auctioneer, or its duly authorised agent or servant.

If lots have not been removed in full by the clearance deadline then the conditions of sale will be applied strictly by the Auctioneer.

PLEASE NOTE - In the interest of security, access to the site during clearance times may be restricted.  Please ensure that you make appropriate arrangements through the auctioneers to ensure that you are able to comply with the clearance deadline for removal of lots from the site. 

It is the Buyer's responsibility to assess and provide the necessary equipment, manpower and specialist services where required, to disconnect, remove and load each lot purchased and the Auctioneer shall have no obligation to assist in such disconnection, removal or loading.

During busy periods, access for clearance to the site or to lots may be restricted on the grounds of health and safety.  The Buyer agrees that neither the Auctioneer, Seller nor its agents will be liable for any claims and/or costs arising for the hire and /or use of any equipment, demurrage or contractors required by the Buyer to remove the lots.

Porters  are on site to supervise and control removals, not assist in the handling or loading of lots.

RESERVE PRICE - AUCTION

The Auctioneer may, at its discretion, or upon the instruction of the Seller:-

alter or withdraw all or any lots referred to in this auction catalogue prior to the hammer falling in relation to a sale of such lot(s).

where a reserve price has been placed on any lot, withdraw that lot in the event that the highest bid price does not meet the reserve price.

bid, on behalf of the Seller, or accept bids from the Seller, for any lot or lots offered for sale at the auction.                    

DESCRIPTIONS                

The information contained herein as to quality, description, etc, of the goods is provided in good faith but represents the Auctioneer's opinion without obligation, and prospective purchasers must rely on their own examination of the goods.  Included in this auction catalogue are General Conditions of Sale and Special Conditions of Sale both of which are incorporated in the sale contract. Buyers will be deemed to have read and understood these conditions. Buyers are not entitled to any goods or other items not included in the lot description in this catalogue.

WARRANTY                      

All goods are sold without warranty and any conditions and warranties as to condition, quality, description or fitness for any purpose are expressly excluded to the fullest extent permitted by law.

USED EQUIPMENT

DISCLAIMER OF WARRANTIES ALL GOODS ARE PURCHASED BY THE PURCHASER "AS IS" AND "WITH ALL FAULTS", AND SELLER MAKES NO REPRESENTATION OR WARRANTY, EXPRESS, OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE OR ANY OTHER MATTER WITH RESPECT TO THE GOODS.

Any affirmation of fact or promises made by Seller shall not be deemed to create an express warranty that the Goods shall conform to such affirmation or promise. Any descriptions, samples and specifications with respect to goods offered for sale herein are not warranted by Seller to be accurate or complete. If a model or sample was shown to Purchaser, such model or sample was used merely to illustrate the general type and quality of goods sold by Seller and not to represent that the Goods would necessarily conform to such model or sample. Any description is for the sole purpose of identifying the Goods and no affirmation, promise, description, sample or model shall be deemed part of the basis of the bargain.

SELLER STRONGLY RECOMMENDS THAT PURCHASER CONDUCT AN ON-SITE INSPECTION OF THE GOODS SOLD HEREUNDER. SELLER SHALL NOT BE RESPONSIBLE FOR THE CONSEQUENCES OF PURCHASER'S FAILURE TO INSPECT THE GOODS OR FOR ANY INACCURACIES, INSUFFICIENCIES, OR OMISSIONS IN SUCH DESCRIPTIONS, SAMPLES AND/OR SPECIFICATIONS.

The employees or representatives of Seller are not authorized to make any statement or representation as to the quality, character, size, condition, quantity, etc. of the goods offered for sale inconsistent with these Terms and Conditions. Any such statements made will not be binding on Seller or be grounds for any subsequent claim.

Purchaser understands that the Goods described herein have been used by persons other than Seller. Purchaser is warned and acknowledges that such Goods may bear or contain hazardous chemicals or other hazardous materials which may be or may become, by chemical reaction or otherwise, directly or indirectly hazardous to life, to health, or to property (by reason of toxicity, flammability, explosiveness or for other similar or different reasons during use, handling, cleaning, reconditioning, disposal or at any other time after the article leaves the possession and control of Seller). Purchaser does hereby discharge Seller from any and all liability directly or indirectly resulting from the presence of the aforesaid chemicals or materials, including and not limited to any and all liability directly or indirectly resulting from the failure of Seller to give more specific warning with respect to individual articles or substances or from the inadequacy of any warning.

Purchaser acknowledges that the Goods sold herein may be dangerous if improperly used. Purchaser acknowledges that it must contact the original manufacturer to obtain up-to-date installation and operation manuals and other information to insure the safe operation of Goods. Seller will not be responsible for any loss or injury resulting from defects or alleged defects in the Goods sold or from the subsequent use of the items. Purchaser agrees to defend any suit, action or cause of action brought against Seller, its directors, officers, employees and other agents and representatives by any person based on any such alleged injury, illness, or damage and to pay all damages, costs and expenses including, but not limited to, attorney's fees or legal expenses in connection therewith or resulting therefrom.

Purchaser hereby agrees to defend, indemnify and hold harmless Seller its directors, officers, employees and other agents and representatives from and against any and all liabilities, judgments, claims, settlements, losses, damages, penalties, obligations and expenses, including attorney's fees and expenses and other professional fees and expenses, incurred or suffered by such person arising from, by reason of, or in connection with any loss, damage or injury to person or property arising from, by reason of or in connection with the Goods sold hereunder. This indemnification shall survive delivery of the Goods to Purchaser and any subsequent sale or other transfer of the Goods to a third party.

Purchaser shall comply with Seller's plant safety rules and regulations.

Purchaser has inspected the Goods or hereby acknowledges that Seller invited, urged and cautioned Purchaser to inspect the Goods and Purchaser declined to examine the same.

DAMAGE TO PREMISES OR OTHER GOODS

The Buyer will be responsible for all damage occasioned to the premises or goods in the premises including damage caused by its carriers, agents or servants in removing lots purchased.  At the discretion of the Auctioneer a deposit may be required prior to or during the removal of lot(s).  Such deposit will be refunded subject to completion of removals to the satisfaction of the Auctioneer or their agent.  Should the Buyer refuse to deposit such monies the Auctioneer may refuse the Buyer access to the premises for the purpose of collecting all or any lots purchased.  In the event that the Buyer is refused access to the premises on these grounds, this shall not limit the Auctioneer's right to make claims against the Buyer in relation to a non-collection of goods prior to the stated deadline in accordance with the conditions of sale.

INSURANCE, RISK & TITLE

Buyers should note that on being notified of their bids being successful, the lots stand at the Buyer's risk but collection will not be allowed until the lots have been paid for in full by way of cleared or bank guaranteed funds.  Buyers are strongly advised to immediately take advice by way of risk assessment and take out sufficient insurance cover to protect against the risks.  The duty of the Auctioneer and/or the Seller to deliver lots shall be deemed performed upon the fall of the hammer even if a lot is subsequently damaged and/or part thereof has been lost, stolen, or damaged after the fall of the hammer. To the fullest extent permitted by law no responsibility whatsoever will rest with the Auctioneer or Seller in the event of any loss suffered.

TRANSFERS                     

The Auctioneer will not, under any circumstances, recognise the transfer of lots to third parties.

RELEASE OF LOTS

No lots will be allowed to be removed until all monies owed by the Buyer have been settled in full by way of cleared funds.

PURCHASE OF LOTS THROUGH FINANCE COMPANY

The Auctioneer draws the attention of prospective bidders contemplating purchasing lots through a finance company to the importance of making such arrangements well in advance of the sale so that they may make payment in accordance with the conditions of sale.

VALUE ADDED TAX [VAT]

Lots are sold subject to the addition of VAT in accordance with the rules of HM Revenue and Customs and the Buyer should make its own enquiries as to whether or not particular lots attract VAT.

Where VAT is payable, it will be levied on the bid price and charged in addition to the bid price.  Where the sale is subject to a Buyer’s Premium, then VAT will also be payable on, and in addition to, the calculated Buyer’s Premium.

VAT charged on the bid price, may be refunded, in appropriate cases, where notification has been received by the Auctioneer before, or within two working days, of completion of the sale, that the buyer intends to export the lots.  Where such notification has been received, the VAT will be levied at the point of sale and held, for a period of four weeks, from completion of the sale.  For these purposes, the completion of the sale is specified as 10 December 2015.  The Buyer should note that the Buyer’s Premium is a supply within the UK and is not refundable irrespective of whether or not the goods are exported.

 Subject to the above VAT will only be repaid in the following circumstances:-

Non EC Buyers: - VAT will be repaid upon receipt of a copy of the Bill of Lading, or other official documentation, to prove that the goods have been exported.

Companies Registered in an EC Member State: - the VAT element will be repaid upon receipt from the Buyer of a copy of official company letterhead incorporating their VAT number.

In the event that the Buyer does not comply with the above terms, the VAT element will be transferred to the Seller in accordance with our standard VAT procedures.

REMOVAL OF LOTS

Any person or persons seen to be acting in a manner which may endanger themselves or others, will be asked to stop and leave the site immediately.

It is the Buyer’s responsibility to ensure that arrangements have been made for the removal of all lots purchased.  The Buyer accepts that:-

Porters are not employed to assist in the removal of assets, only supervise;

Removal of lots to be undertaken by the Buyer;

Only assets with lot tickets are offered for sale;

Any Buyer found to be damaging the premises or fabric of the buildings will be immediately asked to leave the premises.

The Auctioneer, its agents and porters are on site to supervise and control removals, not assist in the handling or loading of lots.  Insurance cover is not in place for the Auctioneers to undertake handling.

PARKING

Please note that parking is in the main car park and every body entering the site must register at the Security Hut. Vehicles are parked at the owner’s risk.

General Terms & Conditions of Sale

 

1. Application of these General Conditions

 

1.1 In these General Conditions the expression 'the Auctioneer' includes his employees and agents and any person to whom conduct of the Auction is delegated under clause 5.11 below.

1.2 These General Conditions apply to every Auction of Plant and Machinery, Chattels and Trade Stocks conducted by the Auctioneer and to any Lot offered for sale in the Auction whether that Lot includes property fixed to land or not fixed to land or any other personal property.

1.3 If these General Conditions have not previously been accepted by a person attending or bidding at the Auction, bidding for any Lot in the Auction shall be deemed to be an acceptance by the Bidder of these General Conditions.

1.4 To the extent that these General Conditions are inconsistent with any special conditions set out or referred to in the Auction Catalogue or announced at the Auction, the Special Conditions shall prevail.

1.5 These General Conditions shall be governed, construed and enforced in accordance with the law of England but:-

(a) if the Auction is held in Scotland, in accordance with the law of Scotland;

(b) if the Auction is held in Northern Ireland, in accordance with the law of Northern Ireland.

 

2. The Seller's instructions and Warranties

2.1 The Seller warrants that:-

(a) to any Lot offered for sale he will be able to pass good and unencumbered title free from third party claims;

(b) any Lot offered for sale may lawfully be sold;

(c) the premises where the Auction is to be held (if not the Auctioneer's premises) will be safe for that purpose and that it will be lawful to hold the Auction there.

2.2 If the Seller's instructions are given by the Seller's agent, the Seller's agent warrants that he has the Seller's authority:-

(a) to instruct the Auctioneer;

(b) to give the warranties set out in clause 2.1 above;

(c) to instruct the Auctioneer to act in accordance with these General Conditions and any special conditions.

 

3. The Auctioneer's Remuneration

3.1 The Auctioneer's remuneration shall be such as has been agreed between the Seller and the Auctioneer.

3.2 The Auctioneer may deduct his remuneration from monies received from Buyers before accounting to the Seller for the balance.

 

4. Bidding on behalf of Another

4.1 Unless the Auctioneer has previously acknowledged in writing that the Bidder bids as agent on behalf of a named principal, every Bidder shall be taken to bid on his own behalf as principal.

4.2 If the Auctioneer has earlier acknowledged in writing that the Bidder bids as agent on behalf of a

named principal, the Bidder warrants that he has the authority of his principal to make each bid he makes.

 

5. Conduct of the Auction

5.1 The Auctioneer offers each lot as agent of the Seller and not as principal unless otherwise indicated in the Auction Catalogue.

5.2 Any Lot may be subject to a reserve price unless otherwise indicated in the Auction Catalogue.

5.3 The Seller or his representative or the Auctioneer on his behalf may bid for any Lot unless otherwise indicated in the Auction Catalogue.

5.4 The Auctioneer may at any time before the fall of the hammer withdraw or divide any Lot or combine any Lots.

5.5 With the previous consent of the Seller, the Auctioneer may sell any Lot by private sale before or after the Auction.

5.6 The Auctioneer may require any Bidder to give his name and address and proof of identity before accepting a bid.

5.7 The Auctioneer may reject any bid at his sole discretion and without being required to give a reason.

5.8 The Buyer shall be the person who made the highest bid before the fall of the hammer or such other person as the Auctioneer may declare to be the Buyer without being required to give a reason.

5.9 The Auctioneer may decide whether there is a dispute between Bidders, may summarily determine the dispute or immediately again offer the Lot for sale, in each case without being required to give a reason.

5.10 The Auctioneer shall in every other respect decide how the Auction is to be conducted and without being required to give a reason.

5.11 The Auctioneer may in his sole discretion delegate to a person whom he believes to be competent the conduct of the Auction in accordance with these General Conditions.

 

6. After the Sale

6.1 Upon the Auctioneer declaring any Lot sold, the Buyer shall immediately:-

(a) give the Auctioneer his name and address and, if requested, proof of identity;

(b) identify any person on whose behalf he has bought;

(c) pay to the Auctioneer if requested a deposit of up to 25 per cent of the price.

 

6.2 Within the time specified in clause 6.3 below, the Buyer shall pay the following sums to the Auctioneer in full:-

(a) the balance of the price of all Lots purchased together with any VAT due;

(b) the value as summarily determined by the Auctioneer, whose determination shall be final and binding, of all or part of any Lot or of the premises where the Auction is held which has been damaged or destroyed by the Buyer or his principal or his agent.

6.3 The time for complying with clause 6.2 above shall be the time specified in the Auction catalogue or if no time is specified there, 4 pm on the next working day, and in every case time shall be of the essence.

6.4 The Auctioneer may at any time in his sole discretion grant the Buyer an extension of time for complying with clause 6.2 above, in which case the Buyer shall pay to the Auctioneer in full before moving or removing the Lot interest on any unpaid sums at a rate of 4 per cent above Barclays Bank plc base rate in force from time to time.

6.5 Until the Buyer has complied with clause 6.2 above:-

(a) title to any Lot bought shall not pass to the Buyer;

(b) the lot shall be at the Buyer's risk;

(c) the Auctioneer shall have a lien over any Lot bought by the Buyer in the Auction;

(d) if the Buyer effects or purports to effect a resale or any other disposition of all or part of the Lot, the Buyer shall hold proceeds of resale or other disposition on trust for the Auctioneer and the Seller.

6.6 On written request by the Buyer, the Auctioneer shall provide a VAT invoice in proper form, if appropriate.

 

7. Removal of Lot Bought

7.1 The Buyer may not remove any Lot he has bought until after the end of the Auction.

7.2 The Buyer may not remove any Lot until the Buyer has paid the sums specified in clause 6.2 above in full for every Lot he has bought.

7.3 After paying the sums specified in clause 6.2 above, the Buyer must remove the lot bought by the time specified in the Auction Catalogue or if no time is specified there, 5 pm on the next working day, and in every case time shall be of the essence.

7.4 The Auctioneer may at any time at his sole discretion and on terms specified by him grant the Buyer an extension of the time specified in clause 7.3 above.

7.5 If the Lot bought is or includes a motor vehicle, no warranty is given that the vehicle may safely or lawfully be driven on the road.

7.6 When removing any Lot the Buyer:-

(a) Is responsible for detaching any Lot fixed to land and must do so safely and lawfully and must not use flame cutters, explosives or any other dangerous equipment or process without previous written

permission signed by or on behalf of the Auctioneer.

(b) must use safe and lawful means of removing the Lot;

(c) shall indemnify the Auctioneer and the Seller against any loss damage legal or other expenses and any claim arising from the detaching of the Lot or its removal;

(d) shall have insurance in respect of such indemnity and shall on request produce to the Auctioneer a receipt for the last premium due or other sufficient evidence that such insurance has been effected and remains in force.

 

8. Default by the Buyer

8.1 If at any time the Buyer has failed either to pay the sums specified in clause 6.2 above in full by the expiry of the time specified in clause 6.3 above (or any extension granted under clause 6.4 above), or to remove any Lot by the time specified in clause 7.3 above (or any extension granted under clause 7.4 above), the Auctioneer may rescind the sale of that Lot, in which case any deposit shall be forfeit, and that Lot may be resold by auction or privately.

8.2 If the Auctioneer has rescinded the sale but the Buyer has removed the Lot bought, the Auctioneer shall be entitled without previous notice to enter upon any premises where he believes the Lot to be and remove it.

8.3 If the Auctioneer has rescinded the sale and the Lot has been resold, the Buyer shall make good any deficiency, namely:-

(a) the sale price less the resale price;

(b) the costs of and incidental to resale.

8.4 If because the Buyer has failed to remove any Lot by the time specified in clause 7.3 above (or

any extension granted under clause 7.4 above), the Seller is unable to give vacant possession on disposing of or relinquishing any interest in the premises from which the Lot should have been removed, the Buyer shall compensate the Seller for any loss resulting.

 

9. Liabilities and Indemnities

9.1 The Auctioneer warrants that he believes that the Seller of each Lot is able to pass good title, and if the Seller is not able to do so, the Auctioneer shall use his reasonable endeavours to assist the Buyer in obtaining good title and in pursuing any remedies the Buyer may have against the Seller, but the Auctioneer shall not be bound to initiate litigation and shall not be under any other obligation to the Buyer.

9.2 Each Lot is sold as seen and where lying.

9.3 No Lot is sold as comprising or including any new goods.

9.4 The Auctioneer neither has nor professes any expert or other knowledge of any Lot sold and

there is hereby excluded any liability the Auctioneer might otherwise incur and any right or immunity the Buyer might otherwise possess in respect of any conditions, warranties or representations relating to the condition of any Lot sold or the merchantable quality of any Lot or its fitness for the particular or any purpose for which it is or may be required whether such conditions, warranties or representations are expressed or implied in the Auction Catalogue or are the subject of oral or written statements made by or on behalf of the Auctioneer or any other person before or in the course of the Auction.

9.5 No liability shall attach to the Auctioneer either in contract or in tort for loss injury or damage legal or other expenses sustained by the Seller, any Bidder, the Buyer or any other person by reason of:-

(a) any defect in any Lot sold, whether or not such defect be latent or apparent on examination;

(b) any defect or danger of the premises where the Auction is held;

(c) any alleged failure of the Auctioneer properly to advertise the Auction or to seek or obtain expert advice with regard to any Lot offered for sale or its reserve price;

(d) any act or omission of the Auctioneer in the conduct of the Auction or after the Auction;

(e) any act or omission of any person other than the Auctioneer.

9.6 The Seller shall indemnify the Auctioneer in respect of any claims made by another or third party for any loss injury damage or legal or other expenses referred to in clause 9.5 above.

9.7 The Auctioneer shall not be liable to indemnify the Seller or any Bidder or the Buyer in respect of any claims made by another or third party for any loss injury damage or legal or other expenses referred to in clause 9.5 above.

9.8 Clauses 9.3 to 9.7 shall not be valid insofar as prohibited by statute.

9.9 In no circumstances shall the Auctioneer be liable for any consequential loss or damage.

 

10. Waiver

10.1 No indulgence by the Auctioneer shall prevent the Auctioneer or the Seller subsequently insisting upon their respective rights and remedies.

 

11. Health and Safety at Work Act 1974 (HSWA)

11.1 Waivers (SHE-42 and 42A)

11.2 Section 6 (8) of the Act – in certain instances it may be necessary for the purchaser to give a written undertaking pursuant to Section 6 (8) of the Health & Safety at Work Act 1974.

11.3 Asbestos / Hazardous Substances

It is expressly brought to the purchasers attention that certain types of plant or main service installations could contain Asbestos, dangerous chemicals etc., which if not handled properly during their removal from site could be in breach of the Health & Safety at Work Act 1974, Control of Asbestos at Work Regulations 2002, the Asbestos (Licensing) Regulations as amended and the Control of Substances Hazardous to Health Regulations 1988 (COSHH) or any other current legislation covering the use of such substances in a working environment.

11.4 All purchasers must comply with all current legislation and regulations, including the Water Industry Act (as amended) and the Environment Protection Act 1990, as amended: in relation to the removal / disposal of waste / trade effluent including hazardous waste and may be required to satisfy Hunt4abargain Ltd in relation to their disposal / removal procedure. Where waste materials are removed all work must be undertaken by an approved and licensed contractor.
